- Use of Application. The Content stored in this Application is for your program purposes only. Certain Content is intended for particular audiences such as yourself & your employees, (henceforth any references to “You”, “Your” or “Yourself” will include all the classes of aforementioned users). Your access to and use of the Content contained in this Application is subject to this Terms of Use. By accessing and using this Application, you accept, without limitation or qualification, this Terms of Use.
- Channel Sales Platform. The Content stored in this Application, and the use of this Application, is for the purpose of the implementation of the Channel Sales Platform (“the Purpose”) only. You acknowledge and agree that you shall not use this Application and the Content stored in this Application for any other purposes.
- Eligibility: To be eligible to participate in and use the Application and the Content stored, you must be an employee of an authorized [HP Managed Final Tier Resellers with Platinum / Gold / Silver membership or selected contracted non-Managed Final Tier Resellers]. You hereby undertake and understand should there be any change in your employment relationship towards your respective company and/or should there be any changes on the relationship between HP and your company, this Application and the Content stored inside shall be forfeited. You shall solely be responsible on employment status with your respective company or organization. No part in this Application and the Content stored shall be construed as an entry into partnership and/or an employment relationship between HP and you. You understand you’re your company policy requires prior approval from their management, the onus lies with you to obtain your management consent for their participation and has not violated any regulation and/or policies from your respective company and/or organizations. HP may contact your respective company or organization to verify your employment status. HP and its agent(s) shall not be liable for any damages resulting from your participation on without seeking approval from your management and/ or violation any of the company policy.
- Registration. The Application would require you to become a registered user. When and if you register, you agree to (a) provide accurate, current and complete information about yourself as prompted by our registration form and (b) maintain and update your information (including your email address and correspondence address) to keep it accurate, current and complete. You agree that if any information provided by you (or on your behalf under your direction or knowledge) is untrue, inaccurate, not current or incomplete or contains a misrepresentation, we reserve the right to terminate your use of this Application.
- Username and Password. You will be asked to select a username and password. If you have reason(s) to believe that your account with us is no longer secure, you must promptly change your password and immediately notify HP Program Owner of the problem. You are entirely responsible for maintaining the confidentiality of your username and password and for any and all activities that are conducted through your account.
- Content. You agree that access to and use of this Application and the Content thereof is at your own risk. HP disclaims all warranties, express or implied, including warranties of merchantability of fitness for a particular purpose. HP shall not be liable for any damages, including without limitation, direct, incidental, consequential, indirect or punitive damages, arising out of access to, use of or inability to use this Application, or any errors or omissions in the Content thereof. This limitation includes, but is not limited to damages to, or for any viruses that infect your computer equipment.
- Submission of Content. By submitting Content via this Application:
- you warrant and represent that you have all legal, moral, and other rights that may be necessary to publish the Content;
- you acknowledge and agree that we shall have the right (but not obligation), in our sole discretion, to refuse to publish or to remove or block access to any Content you provide at any time and for any reason, with or without notice.
- Your Conduct. You agree not to:
- upload, transmit, post, email or otherwise make available to the Site, any Content or other material in any format that:
- is false, inaccurate, unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, invasive of another’s privacy, libelous and/or otherwise objectionable;
- infringes any third party's intellectual property; or
- contains viruses, worms, Trojan horses, corrupted files, or any other similar software or programs that have the effect of interrupting, destroying or limiting the functionality of any computer software or hardware or telecommunications equipment. You agree that you will not transmit or access any data that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party and agree to indemnify and hold harmless HP from their claims if you do.
- modify, adapt, sell, reverse engineer, decompile or disassemble any portion of this Application.
- harvest or collect information about users of this Application without their express consent.
- Indemnification. You agree to indemnify, defend and hold harmless HP, its officers, directors, employees, agents, suppliers and third party partners from and against all losses, expenses, damages and costs, including reasonable attorneys' fee, resulting from any violation by you of these Terms of Use.
- Privacy and Personal Data. HP respects the privacy and personal data of its partners. You agree to allow HP and/or its appointed service providers and their contractors to process the personal data submitted by you through this Application or otherwise. We will not disclose any of your personal data to any third party without your consent, except within the HP group of companies and/or our third party service providers and their contractors only where necessary, or where we are compelled or required under the law. It is necessary for us to collect your personal data, failing which you will be unable to use this Application. Personal data processing will also be subject to HP’s policies on privacy and personal data.
- Third Party Websites and Links. The Content in this Application may contain links or references to other websites maintained by your organization or by third parties over whom HP has no control. HP makes no warranties or representations of any kind as to the accuracy, currency, or completeness of any information contained in such websites and shall have no liability for any damages or injuries of any kind arising from such Content or information. Inclusion of any external or third party link does not imply an endorsement or recommendation by HP.
- Confidential Information. Communication or other material that you submit or post via this Application will be deemed to be confidential.
- Trademarks. All HP product names, whether or not appearing in large print or with the trademark symbol, are trademarks of HP, its affiliates, related companies or its licensors or joint venture partners, unless otherwise noted. The use or misuse of these trademarks or any other materials, except as permitted herein, is expressly prohibited and may be in violation of copyright law, trademark law, the law of slander and libel, the law of privacy and publicity, and communications regulations and statutes. Please be advised that HP actively and aggressively enforces its intellectual property rights to the fullest extent of the law. By submitting any trademarked Content via this Application, you warrant and represent that you have all legal, moral, and other rights that may be necessary to publish, republish or distribute the Content and will comply to any and all trademark law with respect to that Content.
- Copyrights. The entire Contents of this Application are subject to copyright protection. Any HP proprietary Content in this Application may not be copied other than for noncommercial individual reference with all copyright or other proprietary notices retained, and thereafter may not be recopied, reproduced or otherwise redistributed. Except as expressly provided above, you may not otherwise copy, display, download, distribute, modify, reproduce, republish or retransmit any information, text or documents contained in this Application or any portion thereof in any electronic medium or in hard copy, or create any derivative work based on such images, text or documents, without the express written consent of HP. Nothing contained herein shall be construed as conferring by implication, estoppel or otherwise any license or right under any patent or trademark of HP, or any third party. By submitting any copyrighted Content via this Application, you warrant and represent that you have all legal, moral, and other rights that may be necessary to publish, republish or distribute the Content and will comply to any and all copyright law with respect to that Content.
- Declarations and Disclosures. You are reminded that it is your responsibility to make any relevant declarations and disclosures as required under the applicable laws that may arise out of the use of this Application, including but not limited to income tax declarations. HP shall not be responsible for making any of the relevant declarations and disclosures on your behalf, unless otherwise required by law. - Termination. We reserve the right at all times to remove, suspend, or to terminate your use of this Application with or without cause, at any time. We may (but shall not be obliged to) give advance notice to you in the manner it deems appropriate in the event it decides to cancel, revise or suspend your use of this Application
- Miscellaneous. If any provision of this Terms of Use is held to be unlawful, void or unenforceable, then such provision shall be severable without affecting the enforceability of all remaining provisions. HP reserves the right to alter or delete materials from this Application at any time at its discretion.
